Terms of Service

Before you publish this: this is a general-purpose draft, not legal advice. It has not been reviewed by a lawyer. Payment schedules, revision limits, cancellation terms, and liability caps below are placeholders based on common industry practice. Replace them with your actual policies and have a qualified professional review the final version before publishing, especially given you take on clients across two countries.
These Terms of Service (“Terms”) govern your use of embercodes.com (the “Site”) and any project engagement with Ember Codes (“we,” “us,” or “our”). By using the Site or engaging our services, you agree to these Terms.
Our services
Ember Codes provides website design, website development, and digital marketing services, including SEO and paid advertising management, to businesses primarily across Northeast India and Bhutan. The specific scope, deliverables, timeline, and cost of any project are agreed separately in a written proposal or quote before work begins.
Use of this website
You agree to use the Site only for lawful purposes. You may not attempt to interfere with the Site’s normal operation, copy or reproduce its content without permission, or use it to transmit anything harmful or unlawful.
Project engagements
Where these Terms apply to a specific client project, the following general principles apply unless a signed agreement between us says otherwise:
- Quotes and payment — project quotes are typically valid for 30 days. Work usually begins after an agreed deposit is received, with remaining payments tied to project milestones or completion.
- Client responsibilities — timely delivery depends on you providing requested content, feedback, and approvals promptly; delays on your end may shift the project timeline.
- Revisions — each project includes a reasonable number of revision rounds, as specified in your proposal; additional revisions beyond that scope may be billed separately.
- Cancellation — if a project is cancelled partway through, you’re responsible for payment for work completed up to that point.
Intellectual property
Once a project is paid in full, ownership of the final agreed deliverables (e.g. the completed website) transfers to you, except for any third-party assets, licensed stock content, or Ember Codes’ own pre-existing tools and frameworks, which remain licensed rather than owned outright. Until full payment is received, all work remains our property.
Content on this Site itself — including its design, layout, and written content — belongs to Ember Codes and may not be copied or reused without permission.
Limitation of liability
We aim to deliver reliable, high-quality work, but we can’t guarantee that any website or marketing campaign will achieve specific business results, since outcomes depend on many factors outside our control. To the extent permitted by law, our liability for any claim relating to our services is limited to the amount you paid us for the relevant project.
Third-party links and tools
The Site or our deliverables may link to or integrate third-party tools and services (e.g. hosting providers, payment gateways, analytics). We aren’t responsible for the availability, content, or practices of those third parties.
Governing law
These Terms are governed by the laws of India, and any dispute will be subject to the jurisdiction of the courts in West Bengal, unless otherwise agreed in writing for a specific engagement.
Changes to these terms
We may update these Terms from time to time. The “last updated” date at the top of this page reflects the most recent revision. Continued use of the Site after changes means you accept the updated Terms.
